How to Use Draft a Contract Workflow

1. Access the Workflow

Navigate to the Vincent AI homepage and search for or select "Draft a Contract" from the workflows menu.

2. Initiate Your Draft

You have two ways to start your draft:

Option A: Draft from a Prompt If you don't have a template, simply describe your goal.

  • Example: "I am an inventor looking to ensure that investors I am pitching to do not steal my ideas."

  • Vincent will identify the correct document type (e.g., an NDA) and guide you through the process.

Option B: Draft from an Exemplar (Recommended) You can upload your own precedent document (e.g., a specific employment contract used by your firm) or use a built-in example.

  • Vincent analyzes the uploaded document to extract structure, clauses, and key variables.

  • It then adapts this structure to your new facts and jurisdiction.

3. Interactive Fact Gathering

Vincent will guide you through a structured series of questions to collect critical details, such as:

  • Controlling jurisdiction (e.g., New York, Massachusetts)

  • Party names and roles

  • Compensation terms and effective dates

  • Key obligations and rights

Pro Tip: If you don't have a specific detail yet, you can leave a field blank. Vincent will mark it as "to be determined" in the final draft so you can fill it in later.

4. Review the Outline

Before writing the full text, Vincent presents a preliminary outline. This allows you to:

  • Verify the structure of the agreement.

  • Refine sections or request changes (e.g., "Add a clause regarding remote work").

  • Confirm you are ready to generate the text.
